1. Agreement to these Terms

These Terms of Service ("Terms") govern your access to and use of the MyReferral.systems website, platform, and related services (collectively, the "Service"), operated by MyReferral.systems ("we," "us," or "our"). By creating an account, visiting a chapter, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. The Service

MyReferral.systems is a platform that helps business owners organize and participate in local referral networking chapters, manage memberships and meetings, and track business referrals and opportunities. We provide software and organizational structure only. We are not a party to any transaction, referral, engagement, or agreement between members, visitors, or the customers they refer to one another.

3. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract to use the Service. You agree to provide accurate, current, and complete information when registering and to keep it updated. You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized use.

4. Memberships, chapters, and category seats

Chapter membership, category seat assignments, meeting schedules, and any chapter-level dues are administered by chapter leaders. Category exclusivity, where offered, is a chapter-level practice and is not warranted by us. We do not guarantee the availability of any chapter, seat, or category, and chapter structures may change over time.

5. No guarantee of referrals or results

The Service helps members build referral relationships and track business opportunities. We make no representation, warranty, or guarantee regarding the number, quality, or value of referrals you may give or receive, or any income or business results arising from your use of the Service. Any referral values displayed on the Service are self-reported by members and are provided for informational purposes only. See our Referral Disclaimer for details.

6. Fees and billing

Certain features require a paid subscription. Prices are displayed on our pricing page and may change with notice. Subscriptions renew automatically on a monthly or yearly basis until cancelled. You may cancel at any time from your billing settings; access continues through the end of the paid period. Except where required by law, payments are non-refundable. Chapter-level dues, if any, are set and collected by chapter leaders and are separate from platform subscriptions.

7. Acceptable use

You agree not to:

  • Use the Service for any unlawful, deceptive, or fraudulent purpose;
  • Submit false or fabricated referrals, reviews, or closed-business values;
  • Harvest member or customer contact information for unsolicited marketing (see our Anti-Spam Policy);
  • Harass, threaten, or discriminate against other members or visitors;
  • Misrepresent your business, licensure, insurance, or qualifications;
  • Interfere with, probe, or disrupt the Service or its security features;
  • Access the Service by automated means without our written permission.

8. Member content

You retain ownership of content you submit to the Service, including business profiles, descriptions, and referral notes ("Member Content"). You grant us a worldwide, non-exclusive, royalty-free license to host, display, and distribute Member Content as needed to operate and promote the Service. You represent that you have the rights to submit your Member Content and that it does not violate any law or third-party right, including any obligation of confidentiality owed to a referred customer.

9. Referred customer information

When you submit a referral containing a customer's contact information, you represent that you have a lawful basis and, where required, the customer's permission to share it. Referral recipients may use referred customer information solely to respond to the specific referred need and must not add referred customers to marketing lists without separate consent.

10. Intellectual property

The Service, including its software, design, text, and trademarks, is owned by us or our licensors and is protected by intellectual property laws. Except for the limited right to use the Service in accordance with these Terms, no rights are granted to you.

11. Termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access if you violate these Terms, submit fraudulent referrals, or use the Service in a way that harms other users or the platform. Upon termination, provisions that by their nature should survive (including Sections 5, 8, 12, 13, and 14) will survive.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT VET, ENDORSE, OR GUARANTEE ANY MEMBER, BUSINESS, OR REFERRAL. YOU ARE SOLELY RESPONSIBLE FOR EVALUATING ANY BUSINESS OR PERSON YOU ENGAGE WITH THROUGH THE SERVICE.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

14. Indemnification

You agree to indemnify and hold us harmless from claims, damages, and expenses (including reasonable attorneys' fees) arising from your Member Content, your use of the Service, your violation of these Terms, or your dealings with other members, visitors, or referred customers.

15. Governing law and disputes

These Terms are governed by the laws of the United States and the state in which we are organized, without regard to conflict-of-law rules. Before filing any claim, you agree to contact us and attempt to resolve the dispute informally for at least thirty (30) days.

16. Changes to these Terms

We may update these Terms from time to time. Material changes will be announced by email or in-app notice, and the "Last updated" date above will change. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
